These Terms of Sale and Use (“Terms”) are a binding agreement between you (“you,” “Buyer”) and US Research Labs LLC, a California limited liability company (“Company,” “we,” “us”), which operates usresearchlabs.com (the “Site”). These Terms govern your use of the Site and every purchase you make from us. By accessing the Site, ticking any certification box, or placing an order, you agree to these Terms. If you do not agree, do not use the Site or purchase our products.
PLEASE READ SECTION 17 CAREFULLY. IT REQUIRES MOST DISPUTES TO BE RESOLVED BY INDIVIDUAL BINDING ARBITRATION AND WAIVES YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.
1. Research Use Only
1.1 All products sold by the Company (“Products”) are chemical reference materials sold solely for in-vitro laboratory research and analytical purposes by qualified persons.
1.2 Products are NOT drugs, dietary supplements, foods, food additives, cosmetics, medical devices, or veterinary products. They have not been approved, cleared, or evaluated by the U.S. Food and Drug Administration (FDA) or any other regulatory authority for any use. They are not intended to diagnose, treat, cure, mitigate, or prevent any disease or condition in humans or animals.
1.3 Products must not be introduced into humans or animals by any route, including ingestion, injection, inhalation, or topical application. They must not be used for any clinical, diagnostic, therapeutic, cosmetic, household, or agricultural purpose.
1.4 Nothing on the Site, in our packaging, or in any communication from us is a recommendation, instruction, or suggestion to use any Product in or on a human or animal. Any scientific literature we reference is provided for informational purposes only. It is not a claim about any Product’s effect.
2. Qualified Purchaser; Eligibility
2.1 You may purchase Products only if you are: (a) at least 21 years of age; (b) a qualified researcher, scientist, or laboratory professional, or an authorized purchaser acting for a research institution, university, or company that has the training, facilities, and equipment to handle research chemicals safely; and (c) legally permitted to buy the Products where you are located.
2.2 We may, at any time and at our discretion, ask for proof of eligibility. This may include institutional affiliation, a business or tax ID, a description of the intended research, or government ID. We may cancel any order if you do not provide it.
3. Buyer Representations and Warranties
Each time you place an order, you represent and warrant that:
(a) all information you provide is true, accurate, and complete;
(b) you meet every eligibility requirement in Section 2;
(c) you will use the Products only for lawful in-vitro research, in compliance with Section 1;
(d) you will not use, administer, or permit the use or administration of any Product in or on any human or animal;
(e) you will not resell, distribute, transfer, or give any Product to anyone for human or animal use, or to anyone who does not meet Section 2. Any permitted resale to another qualified researcher must pass these Terms on to them in writing;
(f) you will not relabel, repackage, compound, or market any Product as a drug, supplement, food, or cosmetic;
(g) you are not buying for personal use; and
(h) you are not a person or entity barred from receiving goods under U.S. law, including U.S. sanctions and export-control lists.
False representations are a material breach of these Terms. They may also violate law.
4. Right to Refuse or Cancel Orders
4.1 Every order is an offer to buy. It is accepted only when we ship it. We may refuse, cancel, or limit any order, or any quantity, at any time and for any reason or no reason. Without limitation, we may cancel an order if:
– the order, order notes, account details, emails, chats, reviews, or any other communication refers to personal, human, or animal use, dosing, administration, injection, “cycles,” “stacks,” or therapeutic, weight-loss, cosmetic, or performance purposes;
– we reasonably suspect you do not meet Section 2, or that Products will be resold for human or animal use;
– the order appears fraudulent, or the quantities are inconsistent with research use;
– the shipping destination is somewhere we do not ship or where the Product may be restricted.
4.2 If we cancel a paid order, we will refund the amount you paid. That refund is our only obligation. We may also close your account and refuse future orders.
5. No Medical, Dosing, or Usage Advice
The Company does not provide medical, dosing, reconstitution-for-administration, or human or animal usage advice. Customer service staff are instructed to decline such questions. Nothing we provide should be treated as medical advice. If you have health questions, consult a licensed healthcare professional. Do not use our Products.
6. Assumption of Risk
You acknowledge that Products are research chemicals whose toxicological, pharmacological, and safety properties may not be fully known. You assume all risks of receiving, handling, storing, using, and disposing of Products, including the risk of injury or harm to you or others. You are solely responsible for following appropriate laboratory safety practices, including using personal protective equipment and appropriate facilities.
7. Handling, Storage, and Disposal
Products must be handled only by trained personnel in a suitable laboratory setting. Store them as stated on the label or product page; typical storage for lyophilized material is cool, dry, and protected from light, with refrigeration or freezing for long-term storage. Keep them out of reach of children and unauthorized persons. Dispose of Products and containers in accordance with applicable law. Safety Data Sheets (SDS) are available on request.
8. Product Information; Certificates of Analysis
8.1 We try to describe Products accurately, including identity, quantity, and any stated purity. Where we post a Certificate of Analysis (COA), it applies only to the batch identified on it. Some typographical or descriptive errors may occur. We may correct them and cancel affected orders.
8.2 Unless a COA for your batch has been issued, any purity specification is a target specification. It is not a test result.
9. Compliance With Laws; Jurisdiction; Export
9.1 You are solely responsible for knowing and complying with all federal, state, local, and foreign laws that apply to your purchase, possession, use, transport, and disposal of Products, including any licensing or registration requirements. Some Products may be restricted in some jurisdictions. We do not represent that any Product is legal to buy or possess where you are.
9.2 We ship only to addresses within the United States. You may not export or re-export any Product except in full compliance with U.S. export control and sanctions laws and the laws of the destination country.
9.3 Products may be prohibited by sports anti-doping rules. Sales to athletes for performance purposes are prohibited under Section 3.
10. Pricing, Payment, Shipping, Title and Risk of Loss
Prices are in U.S. dollars and may change without notice. Payment is due at checkout. Title and risk of loss pass to you when we deliver the Products to the carrier, except as required otherwise by law. Delivery dates are estimates. Shipping methods, costs, and estimated delivery times are shown at checkout.
11. Returns and Refunds
Returns are governed by our Refund and Returns Policy, which is incorporated into these Terms. Because Products are sensitive research materials, opened or used Products cannot be returned. You must report damaged, defective, or incorrect shipments within 7 days of delivery.
12. DISCLAIMER OF WARRANTIES
EXCEPT AS EXPRESSLY STATED ON A BATCH-SPECIFIC COA OR AS REQUIRED BY LAW, PRODUCTS AND THE SITE ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT ANY PRODUCT IS SAFE OR SUITABLE FOR ANY USE IN OR ON HUMANS OR ANIMALS. Any such use is prohibited.
13. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW: (a) THE COMPANY AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR RESEARCH RESULTS, ARISING OUT OF OR RELATING TO THE PRODUCTS, THE SITE, OR THESE TERMS; AND (b) OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM. THESE LIMITS APPLY TO ANY THEORY OF LIABILITY, INCLUDING CONTRACT, TORT, NEGLIGENCE, AND STRICT LIABILITY. WE ARE NOT LIABLE FOR ANY INJURY, ILLNESS, OR DEATH RESULTING FROM USE OF A PRODUCT IN VIOLATION OF THESE TERMS. Some jurisdictions do not allow certain exclusions. In those jurisdictions, these limits apply only to the extent the law allows.
14. Indemnification
You will defend, indemnify, and hold harmless the Company and its members, managers, officers, employees, and agents from and against all claims, damages, losses, liabilities, penalties, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your breach of these Terms or any representation in them; (b) your or any third party’s handling, use, misuse, resale, or distribution of any Product you bought; (c) any use of a Product in or on a human or animal; or (d) your violation of any law or third-party right.
15. Site Use; Reviews and Content
You may not use the Site for any unlawful purpose. Any review, question, or comment you submit must not describe or promote human or animal use, dosing, or health effects. We may remove such content, and may close the account of whoever posted it. You grant us a license to use content you submit for operating the Site.
16. Privacy and Records
Our Privacy Policy describes how we handle personal information. You agree we may record and keep your certifications, including entry-notice and checkout attestations with timestamps, along with your order records. We may disclose information when legally required, or to protect our rights or the safety of others.
17. DISPUTE RESOLUTION; BINDING ARBITRATION; CLASS-ACTION WAIVER
17.1 Informal resolution. Before filing any claim, the party bringing it must send written notice describing the claim to the other party (to us at contact@usresearchlabs.com and 8919 Garvey Ave Ste C2 #A174, Rosemead, CA 91770). Both parties will then try in good faith to resolve it for 30 days.
17.2 Arbitration. Except as provided in 17.5, any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or any Product will be resolved by final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The Federal Arbitration Act governs this Section. The arbitration will take place in Los Angeles County, California, or by video or in writing where the rules allow.
17.3 CLASS-ACTION AND JURY WAIVER. YOU AND THE COMPANY EACH WAIVE THE RIGHT TO A JURY TRIAL. CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims or award relief on a class-wide basis.
17.4 Fees. Fees are paid according to the applicable arbitration rules.
17.5 Exceptions. Either party may bring an individual claim in small-claims court. Either party may also seek injunctive relief in court to stop misuse of Products or intellectual property.
17.6 Opt-out. You may opt out of this Section 17 by emailing contact@usresearchlabs.com within 30 days of first accepting these Terms.
17.7 If the class-action waiver is found unenforceable for a particular claim, that claim will proceed in court, not in arbitration.
18. Governing Law; Venue
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules, and by the Federal Arbitration Act. Any claim not subject to arbitration will be brought exclusively in the state or federal courts located in Los Angeles County, California. You consent to their jurisdiction.
19. Severability; Waiver; Entire Agreement; Assignment
If any provision is held unenforceable, it will be enforced to the maximum extent allowed and the remainder will stay in effect. Our failure to enforce a provision is not a waiver. These Terms, together with the policies they incorporate, are the entire agreement between you and us about their subject matter. You may not assign these Terms. We may assign them.
20. Changes to These Terms
We may change these Terms at any time by posting a revised version with a new “Last updated” date and version number. Changes apply to orders placed after they are posted. When we make material changes, we may ask you to accept them again, for example through the entry notice or at checkout.
